These Terms explain how to use Warehouse Hub, a mediated warehouse-rental marketplace for the Philippines at warehousehub.ph. By creating an account or using the service, you agree to them.
We're an early-stage startup. Warehouse Hub is young and still growing. We're building this service in the open, so features, pages, and these Terms will change and improve over time. We aim to be clear and fair, and we appreciate your patience and feedback as we grow. We've written these Terms in plain language so they're easy to understand — but they are a binding agreement between you and Warehouse Hub, and by using the service you agree to them.
You should be at least 18 and able to enter into an agreement. If you use the service for a company, you confirm you're allowed to act for it, and “you” means that company. If you don't agree with these Terms, please don't use the service.
Warehouse Hub connects tenants (“lessees”) with warehouse owners (“lessors”). We act as a intermediary and facilitator — our representatives handle inquiries, arrange and accompany viewings, and help with negotiation and paperwork.
Warehouse Hub is not the owner of any warehouse and is not a party to the lease between a lessee and a lessor. We verify listings before they go live and try hard to keep information accurate, but we can't guarantee the condition, availability, or suitability of a property, or that any inquiry becomes a lease.
To use most features you need an account. Please give accurate information, keep it up to date, and keep your password to yourself — you're responsible for what happens under your account, so tell us right away if you spot anything unauthorized. Accounts are either a lessee (tenant) or a lessor (owner), and some parts of these Terms depend on your role.
Using Warehouse Hub as a tenant is free — searching, inquiring, and attending viewings cost you nothing. In return, you agree to handle inquiries, viewings, and negotiations for listings you find here through Warehouse Hub and its representatives, and not to go around the platform to deal directly with an owner we introduced you to (see Section 6). Exact addresses and owner contact details are shared only as needed to complete a confirmed viewing.
By listing a warehouse, you confirm that you own it or have authority to offer it for lease, and that your listing details and photos are accurate. You authorize Warehouse Hub to market the property and to arrange and accompany viewings with prospective tenants on your behalf.
When Warehouse Hub introduces a tenant and a lease is signed, a commission equal to one month's rent of that lease becomes due (see Section 7). The full details of your listing relationship — including the introduction, protection period, and non-circumvention points — are set out in the separate listing agreement you accept when you list, which takes precedence over these Terms if they ever differ on those points.
The mediated model only works if deals stay on-platform. For anyone you're introduced to through Warehouse Hub, both lessees and lessors agree to work through the platform and not to:
Trying to get around the platform may lead to suspension or removal of your account and listings, and — for lessors — the commission staying due, as detailed in the listing agreement.
Lessees:free to use. There's no charge to tenants for searching, inquiring, or viewing.
Lessors:a commission equal to one month's rent is payable only when a lease closes with a tenant introduced by Warehouse Hub. There are no listing fees and no monthly fees.
The exact commission terms, when the fee falls due, and any protection-period details are covered by the listing agreement.
To keep Warehouse Hub safe and useful for everyone, please don't:
As a young startup, we provide Warehouse Hub “as is” and “as available.” We're working hard to make it reliable and accurate, but we can't promise it will always be perfect, uninterrupted, or error-free, and we can't promise a listing will lead to a lease.
Warehouse Hub isn't responsible for the actions of any lessee, lessor, or other third party, or for what happens under a lease between them. We do our part as an intermediary; the deal itself is between the owner and the tenant.
Warehouse Hub's role is limited to introducing tenants and owners and facilitating the transaction. We are not a party to any lease signed between a lessee and a lessor, and once a lease is signed, Warehouse Hub has no responsibility or liability for anything that follows.
To the fullest extent permitted by law, Warehouse Hub, its owners, representatives, and staff are not liable for, and you release us from, any claim, loss, injury, or damage arising from or relating to:
If, despite the above, Warehouse Hub is ever found liable for anything, our total liability is limited to the amount of commission actually received by Warehouse Hub for the transaction in question (and, for a tenant, to zero, since the service is free). Nothing in these Terms limits any liability that cannot be limited under applicable Philippine law.
Warehouses are industrial sites. When you attend a viewing or enter any property in connection with Warehouse Hub, you do so at your own risk. You are responsible for your own safety and for satisfying yourself, through your own inspection and due diligence, about the property's condition, measurements, permits, and suitability before you rely on it or sign any lease. A representative accompanying a viewing is there to coordinate, not to guarantee site safety.
You agree to indemnify and hold harmless Warehouse Hub and its owners, representatives, and staff from any claim, demand, loss, liability, or expense (including reasonable legal fees) arising from your use of the service, your listing or inquiry, the accuracy of information you provide, your dealings with another user, or any lease you enter into.
Because we're growing quickly, we'll update these Terms from time to time. When we do, we'll change the “Last updated” date above, and for bigger changes we'll try to let you know. If you keep using the service after an update, that means you're okay with the new version.
You can stop using Warehouse Hub and close your account any time. We may pause or close an account that breaks these Terms, tries to get around the platform, or that we reasonably need to act on to protect the platform or other users. The parts about commission and keeping deals on-platform still apply afterward.
